Acceptance of User Agreement and Privacy Policy
This User and Participant Agreement is entered into by and between you and BBB National Programs Charitable Foundation, d/b/a Center for Industry Self-Regulation a Delaware corporation (“
CISR,” “
we,” or “
us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “
User Agreement”), govern your access to and use of

https://learn.responsibleinfluence.org, including the Institute for Responsible Influence creator training and certification program (collectively, the “
Website”), whether as a guest or a registered user.
Please read this User Agreement carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the User Agreement when this option is made available to you, you accept and agree to be bound by this User Agreement and our privacy policy, found at

Privacy Policy”), incorporated herein by reference. The Privacy Policy governs the collection, use, and sharing of your personal data. If you do not want to agree to this User Agreement or the Privacy Policy, you must not access or use the Website.
This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with CISR and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
Information About You and Your Visits to the Website
All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
Changes to the User Agreement
We may revise and update this User Agreement from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in this Agreement will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.
Your continued use of the Website following the posting of a revised User Agreement means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
Institute for Responsible Influence – Participation in Training and Certification Program
CISR administers the Institute for Responsible Influence (“IRI”) certification program, which provides creators and the companies or brands that engage them with training, certification, monitoring and resources to ensure transparency, promote responsible content creation, and build consumer trust in the creator economy. CISR will provide online training and certification to you, a participant creator, accessible on this Website. Once you complete the training and pass a test, you will receive a certification and agree to follow best practices that demonstrate your commitment to responsible advertising to brands, agencies, and consumers. As part of the certification, you will receive an IRI certification seal (the “IRI Certification Seal”), which you will be authorized to display as long as you remain in compliance with the applicable best practices and standards set forth by the IRI certification program and its advisory council, as will be updated from time to time and accessible at: https://responsibleinfluence.org/
Time Period for Training and Certification. Once you register to complete the training and certification, you will have three (3) months to complete the training and knowledge test and obtain the certification. After this time period, your account will be automatically deleted from the platform. If you wish to regain access, you will be required to re-register and pay the full fee in accordance with the then-current fee schedule in effect.
Monitoring. As a participant in the IRI certification program and as a condition to remaining certified, you agree to monitoring of your public-facing profiles and content to ensure compliance with the applicable IRI best practices and standards. As a certified creator, you agree to acknowledge and respond to inquiries by CISR and the IRI regarding any of your content or actions that may not comply with the applicable IRI best practices and standards and will make a good faith effort to bring any non-complying content or actions into compliance.
IRI Certification Seal. Subject to the terms and conditions set forth in this User Agreement, upon completion of the training and passing a knowledge test administered as part of the IRI certification program, you are authorized to use the IRI Certification Seal, which represents successful completion of the IRI training and knowledge test. Passing the knowledge test and the use of the IRI Certification Seal will be determined and provided by CISR in its sole discretion. The IRI Certification Seal will be valid for one year from its date of issuance unless earlier revoked by CISR due to your non-compliance with the applicable IRI best practices and standards located

If you are a creator belonging to a regulated profession, then prior to obtaining the IRI Certification Seal, you must ensure you have the right to collaborate with brands for the production of commercial communications, as well as the related ethical authorizations, in particular with the applicable self-regulatory organization. Conditioned on your completion of the IRI training and your passing of the knowledge test, CISR hereby grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right and license to use and display the IRI Certification Seal for a one-year period of time from its date of issuance in accordance with the display guidelines located at

Prior to the expiration of the one-year period of time for which the IRI Certification Seal is valid, you must log in and complete the then current IRI training and pass the knowledge test along with paying the applicable fee due in accordance with the then current fee schedule. If you fail to do so, your access to the IRI training and certification services will be removed, and the license to use to the IRI Certification Seal will expire.
You acknowledge and agree that CISR is the sole owner of the IRI Certification Seal and agree not to challenge or interfere with CISR’s ownership thereof. You understand and agree that CISR’s conditional grant to you of the right to use the IRI Certification Seal does not constitute an endorsement of you or any particular products or services and does not constitute a guarantee of compliance, or approval of any specific content. If, at any time, CISR finds in its sole discretion that you are not using the IRI Certification Seal in accordance with its display guidelines or you are not in compliance with the applicable IRI best practices and standards, CISR may revoke the license to use the IRI Certification Seal.
Fees and Payment
- Fees. Access to certain features of the Website requires payment of the fees described on the Website at the time of purchase. All fees are stated in U.S. dollars.
- Payment Authorization. By providing a payment method, you authorize us (and our third-party payment processor) to charge the applicable fees, including any applicable taxes.
- No Refunds. Except as required by applicable law, all payments are non-refundable.
- Failure to Pay. We may suspend or terminate your access to the IRI training and certification program if payment is past due.
- Taxes. You are responsible for all applicable sales, use, or similar taxes, excluding taxes based on our net income (as applicable).
Accessing the Website and Account Security
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website. You are responsible for making all arrangements necessary for you to have access to the Website and ensuring your compliance with this User Agreement.
To access the Website or the services or resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a username, password, or any other piece of information as part of your account creation or our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of this User Agreement.
Intellectual Property Rights; Use of Course Materials
The Website and its entire contents, features, and functionality, including, but not limited to all information, course materials, software, text, displays, images, videos, and audio, and the design, selection, and arrangement thereof (collectively, “Content”) are owned or licensed by CISR, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
This User Agreement permits you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of the Website or materials on the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
- You may display and use the IRI Certification Seal upon your certification by CISR in accordance with the terms set forth below.
You must not:
- Modify copies of any materials from the Website.
- Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
- Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the User Agreement, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the CISR. Any use of the Website not expressly permitted by this User Agreement is a breach of this User Agreement and may violate copyright, trademark, and other laws.
Trademarks
The Center for Industry Self-Regulation name, the term Institute for Responsible Influence, the CISR logo, and the Institute for Responsible Influence seal and all related names, logos, product and service names, designs, and slogans are trademarks of CISR or its affiliates or licensors. You must not use such marks without the prior written permission of CISR. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
Prohibited Uses
You may use the Website only for lawful purposes and in accordance with this User Agreement. You agree not to use the Website:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate CISR, a CISR employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the CISR or users of the Website, or expose them to liability.
Additionally, you agree not to:
- Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.
- Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
- Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in this User Agreement, without our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Website.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
- Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Website.
Copyright Infringement
Material may be made available on the Website by third parties not within our control. We are under no obligation to, and do not, scan all material used in connection with the Website for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit material known by us to infringe upon another party's copyright to remain on the Website.
To notify CISR of alleged copyright or trademark infringement on the Website, you should provide us with written notice that at a minimum contains:

Upon receipt of the above information, CISR will promptly investigate and take appropriate action, then notify you of that action at the contact address provided.
Reliance on Content; Not Legal Advice

Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF CISR AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) FOR ANY DAMAAGES OR LOSSES OF ANY KIND ARISING FROM OR RELATING IN ANY WAY TO (I) YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR THE INFORMATION CONTAINED ON THE WEBSITE, (II) ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS OR SYSTEM FAILURE, AND (III) ANY OTHER MATTER RELATING TO THE WEBSITE AND THE IRI TRAINING AND CERTIFICATION, EXCEED THE AMOUNT PAID TO CISR IN THE LAST 12 MONTHS FOR THE IRI TRAINING AND CERTIFICATION PROVIDED TO YOU, AS THE CREATOR.
The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless CISR, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this User Agreement or your use of the Website, including, but not limited to, any use of the Website's content, services, and products other than as expressly authorized in this User Agreement, or your use of any information obtained from the Website.
Governing Law and Jurisdiction; Dispute Resolution
All matters relating to the Website and this User Agreement, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, this User Agreement or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Virginia, located in Fairfax County, Virginia or Alexandria, Virginia. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Waiver and Severability
No waiver by CISR of any term or condition set out in this User Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CISR to assert a right or provision under this User Agreement shall not constitute a waiver of such right or provision.
If any provision of this User Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the User Agreement will continue in full force and effect.
Entire Agreement
Termination
Either you or CISR may terminate this User Agreement at any time by providing notice to the other. On termination, you lose the right to access or use the IRI training and certification program. Notwithstanding the termination of this Agreement, any provisions which by their nature should survive termination, including but not limited to provisions regarding indemnification, limitation on liability, and governing law, shall survive and continue to be binding and enforceable. Any amounts owed by a party prior to termination remain owed after termination.
